Terms of Service

Welcome to CheckIn. Please read these Terms of Service ("Terms") carefully before using the CheckIn mobile application and related services (the "Services") operated by MoonGate Technology II, Inc. ("CheckIn," "we," "us," "our").

By downloading, installing, or using the CheckIn application, creating an account, or otherwise accessing our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 13 years of age to use the Services. If you are under 18, you represent that you have your parent or guardian's consent to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements. We do not knowingly collect personal information from children under 13. If we learn that a child under 13 has created an account, we will delete the account and associated data.

2. Account Registration

To access certain features of the Services, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration;
Maintain and promptly update your account information;
Maintain the security and confidentiality of your login credentials;
Accept responsibility for all activities that occur under your account; and
Notify us immediately of any unauthorized use of your account.

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

3. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the CheckIn application on a personal mobile device that you own or control, solely for your personal, non-commercial use in connection with your enrollment at a participating institution.

You may not:

Copy, modify, distribute, sell, or lease any part of the Services;
Reverse engineer or attempt to extract the source code of the application;
Use the Services for any unlawful purpose or in violation of any applicable laws;
Attempt to gain unauthorized access to the Services, other accounts, or any related systems;
Use automated scripts, bots, or other means to interact with the Services;
Interfere with or disrupt the integrity or performance of the Services; or
Remove, alter, or obscure any proprietary notices in the Services.

4. User Content

You may submit content through the Services, including profile information, task responses, and other data ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and process your User Content solely as necessary to provide and improve the Services, and to share engagement data with your Partner Organization as described in our Privacy Policy.

You represent and warrant that:

You own or have the necessary rights to submit your User Content;
Your User Content does not violate any third party's rights; and
Your User Content does not contain unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable material.

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

5. Partner Organizations

CheckIn works with universities and educational institutions ("Partner Organizations") to support student engagement and success. When you use CheckIn through a Partner Organization:

Your engagement data (badge progress, task completions) may be visible to authorized administrators at your Partner Organization;
Your Partner Organization may configure badges, tasks, rewards, and cohorts specific to your institution;
Your Partner Organization may have additional terms or policies that apply to your use of the Services; and
We act as a service provider to your Partner Organization with respect to student education records under FERPA.

6. Badges, Tasks, and Rewards

The Services include a gamified engagement system with badges, tasks, and rewards. You understand and agree that:

Badges and rewards are configured by your Partner Organization and may change at any time;
Rewards are subject to availability and fulfillment by your Partner Organization;
We do not guarantee the availability, value, or delivery of any reward;
Badges, task completions, and rewards have no cash value and are non-transferable; and
We reserve the right to modify, suspend, or discontinue any aspect of the badge and reward system.

7. Intellectual Property

The Services and their entire contents, features, and functionality — including all information, software, text, displays, images, graphics, and design — are owned by MoonGate Technology II, Inc., its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The CheckIn name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MoonGate Technology II, Inc. You may not use such marks without our prior written permission.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding your personal information.

9. Account Deletion

Independent users (not affiliated with a Partner Organization) may delete their account and all associated data at any time through the account settings in the CheckIn mobile application, or by contacting us at info@checkin.college.

University-affiliated users: If your account is associated with a Partner Organization, your account data is owned and managed by that institution. To request account deletion, please contact your university administrator directly.

Upon account deletion:

Your personal profile data will be permanently deleted;
Your engagement data (badge progress, task completions) will be permanently deleted;
De-identified usage and diagnostic data (which cannot identify you) may be retained for service improvement; and
Deletion is permanent and cannot be undone.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination:

Your right to use the Services will immediately cease;
We may delete your account and data in accordance with our Privacy Policy; and
Provisions of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and indemnification).

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOONGATE TECHNOLOGY II, INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
ANY CONTENT OBTAINED FROM THE SERVICES; OR
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless MoonGate Technology II, Inc. and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any User Content you submit through the Services.

14. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in a mutually agreed-upon location.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

15. Apple App Store Additional Terms

If you downloaded the CheckIn application from the Apple App Store, the following additional terms apply:

These Terms are between you and MoonGate Technology II, Inc. only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Services or their content.
The license granted to you is limited to a non-transferable license to use the application on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
MoonGate Technology II, Inc., not Apple, is solely responsible for the Services, including any maintenance and support, product warranties, product claims, and intellectual property infringement claims.
Apple has no warranty obligation for the application. If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
MoonGate Technology II, Inc., not Apple, is responsible for addressing any claims relating to the application or your possession and use of the application, including product liability claims, any claim that the application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, MoonGate Technology II, Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Effective date" above. We may also notify you through the application or by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and MoonGate Technology II, Inc. regarding the Services and supersede all prior agreements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Notices. We may provide notices to you via email, in-app notification, or by posting on our website. You may provide notices to us by email at info@checkin.college.
